Welcome to Nexora Digital! This document outlines our Terms of Service (“Terms”) and Privacy Policy (“Policy”). By accessing or using our website, eCommerce platform, services, or products (collectively, the “Services”), you agree to be bound by these Terms and our Policy. If you do not agree, please do not use our Services.

Nexora Digital is headquartered in Lahore, Pakistan, and operates under Pakistani law. We provide digital solutions including SEO, social media marketing, PPC advertising, web and app development, and our AI-Based Auto Digital Marketer subscription platform.

These Terms and Policy may be updated periodically. We will notify you of significant changes via email or on our website. Continued use after changes constitutes acceptance.

  1. Terms of Service

Eligibility and Account Registration

  • You must be at least 18 years old or have legal capacity to enter into contracts to use our Services.
  • To access certain features (e.g., subscriptions or custom projects), you may need to create an account. Provide accurate information and keep your password secure. You are responsible for all activities under your account.
  • We reserve the right to suspend or terminate accounts for violations of these Terms.

Description of Services

  • Core Services: We offer SEO optimization, social media management, PPC campaigns, custom web and app development, and the AI-Based Auto Digital Marketer (an agentic AI platform for automated content generation, ad management, performance analysis, optimizations, and integrations with WhatsApp, Instagram, Facebook, and LinkedIn).
  • Services are provided on a project basis or via subscription (Starter: Rs. 3,999/month; Growth: Rs. 7,999/month; Pro: Rs. 14,999/month).
  • Custom projects (e.g., web/app development) include consultations, development, testing, and maintenance as agreed in a separate contract.
  • We may use third-party tools (e.g., n8n for chatbots, payment gateways like Stripe, PayFast, or JazzCash) to deliver Services.

Payments and Billing

  • All fees are in Pakistani Rupees (Rs.) and non-refundable unless specified.
  • For subscriptions: Billed monthly in advance. Automatic renewal unless canceled 30 days prior. Customer Acquisition Cost (CAC: Rs. 575/client), Onboarding (Rs. 1,850/client), and Support (Rs. 1,200/month/client) may apply.
  • For custom services: 50% deposit required; balance upon completion. Invoices are due within 15 days.
  • We accept payments via bank transfer, credit cards, or integrated gateways. Late payments incur a 1.5% monthly interest.
  • Taxes (e.g., GST) are your responsibility unless we collect them.

Intellectual Property

  • Nexora owns all rights to our Services, including the AI platform, code, designs, and content we create.
  • For custom projects, you retain ownership of your provided materials. We grant you a non-exclusive license to use deliverables upon full payment.
  • You grant us a license to use your content (e.g., logos, data) solely for providing Services.
  • Do not reproduce, modify, or distribute our IP without permission.

User Responsibilities and Prohibited Activities

  • Use Services lawfully and ethically. Provide accurate data for AI integrations.
  • Prohibited: Hacking, spamming, uploading malicious content, infringing IP, or using Services for illegal activities (e.g., fraudulent ads).
  • For AI-Based Auto Digital Marketer: Ensure your campaigns comply with platform policies (e.g., Facebook’s ad guidelines). We are not liable for third-party platform violations.

Termination and Refunds

  • You may cancel subscriptions with 30 days’ notice; no refunds for partial months.
  • For custom services: Cancellations before start may refund deposits minus admin fees; after start, no refunds.
  • We may terminate for non-payment, violations, or at our discretion. Upon termination, access ends, and data may be deleted after 30 days.
  • Refunds are processed within 14 days via original method.

Disclaimers and Limitation of Liability

  • Services are provided “as is” without warranties. We do not guarantee uninterrupted access or specific results (e.g., SEO rankings).
  • We are not liable for indirect damages, lost profits, or data loss. Liability is limited to fees paid in the last 12 months.
  • Force majeure events (e.g., natural disasters) excuse performance.

Dispute Resolution

  • Governed by laws of Pakistan. Disputes resolved in Lahore courts.
